Effective Date: September 2026

These Terms of Service ("Terms") govern your access to and use of BusiTools — the mobile app, the web dashboard and busitools.net (together, the "Service"), operated by Dungeon Studio Solutions ("we", "our", "us").

By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other organisation, you confirm you have authority to bind it, and "you" means that organisation.

BusiTools is a business tool. It is offered to businesses and to people acting for business purposes, not to consumers.

If you do not agree to these Terms, do not use the Service.

Acceptance of Terms

By creating an account or using BusiTools, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy, which forms part of them.

1.1 Changes to these Terms

We may update these Terms as the Service develops. For material changes we will give you at least 30 days' notice by email or in-app notice before they take effect, and we will update the Effective Date above. Continuing to use the Service after that date means you accept the updated Terms. If you do not accept them, you may cancel and delete your account.

1.2 Age requirement

You must be at least 18 years old to use BusiTools. By using the Service you confirm that you are.

1.3 Who these Terms cover

The person who signs up is the account owner and holds the paid subscription. Team members invited into a group are also bound by these Terms when they use the Service, but the account owner controls the group, its data and its subscription.

License to Use

2.1 Limited licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the app on devices you own or control, and to access the web dashboard, for your own business purposes.

2.2 Restrictions

You agree not to:

  • Reverse engineer, decompile or disassemble the Service, except to the extent that law expressly permits it despite this restriction
  • Copy, modify or create derivative works from the Service
  • Distribute, sell, lease, rent or sublicense the Service, or make it available to any third party as a service of your own
  • Remove, alter or obscure any proprietary notice
  • Use the Service for any unlawful or unauthorised purpose
  • Attempt to gain unauthorised access to any part of the Service, another customer's data, or our systems and networks
  • Probe, scan or test the vulnerability of the Service without our prior written permission

2.3 Ownership

BusiTools and all associated intellectual property rights remain the exclusive property of Dungeon Studio Solutions. These Terms grant you no rights in our trade marks, service marks or logos.

Accounts, Teams and Security

3.1 Account creation

You agree to provide accurate, current and complete information when you register, and to keep it up to date.

3.2 Account security

You are responsible for keeping your credentials confidential, and for everything done under your account. You agree to use a strong, unique password, not to share your credentials, and to tell us immediately if you suspect unauthorised access.

3.3 Team members

The account owner invites team members and sets their roles and permissions. As account owner you are responsible for who you grant access to, what they can see, and removing access promptly when someone leaves.

When a team member is removed, their personal record is removed but the history of work they did — completed tasks, stock movements, invoices they raised — is retained, because deleting it would corrupt your business records. Their name may remain visible in that history.

3.4 Suspension and termination by us

We may suspend or terminate an account if you breach these Terms, if we reasonably suspect fraudulent, unlawful or abusive use, if required by law, or if you fail to pay. Except where the breach is serious or the law prevents it, we will give you notice and a reasonable chance to put it right first.

3.5 Termination by you

You may stop using the Service at any time, cancel your subscription, and delete your account using the deletion feature in the app.

Your Data

4.1 You own your data

You retain all ownership rights in the data you put into the Service ("Your Data") — business details, client and customer records, employee records, schedules, inventory, production data, invoices and financial records.

We claim no ownership of Your Data. We use it only to provide and support the Service, as described in our Privacy Policy.

4.2 Where your data is stored

BusiTools is a cloud service. Your Data is stored on our servers so it can be shared across your team and your devices. This includes business and financial information such as invoicing bank details, invoices and expense records, and employee records.

Our Privacy Policy sets out exactly what is stored, where, who our service providers are, and how long we keep it. Please read it — it forms part of these Terms.

4.3 Data protection roles

Where you put personal data about your employees, workers or clients into the Service, you are the data controller of that information and we are your data processor. You are responsible for having a lawful basis for holding it, for telling those people that you use BusiTools to process their data, and for responding to their data protection requests. We process that data only to provide the Service to you.

4.4 Backups and data loss

We take reasonable measures to protect and back up Your Data, but no service is immune to failure. We are not liable for loss or corruption of Your Data resulting from your own acts or omissions, loss or compromise of your device or credentials, data you delete yourself, or events outside our reasonable control.

We recommend exporting important business records regularly.

4.5 Your responsibilities for content

You confirm that you have the right to put Your Data into the Service, and that doing so does not infringe anyone's rights or break any law.

Note, don't paste: 4.3 should end with a DPA link once one exists. 4.4 assumes export features exist — confirm before publishing.

Prohibited Activities

Important Section

You agree not to use BusiTools to:

5.1 Unlawful activity

  • Break any law or regulation, or promote unlawful conduct
  • Facilitate fraud, money laundering or other financial crime
  • Store or process information obtained unlawfully

5.2 Harmful conduct

  • Upload or transmit viruses, malware or any malicious code
  • Interfere with or disrupt the Service, its servers or its networks
  • Bypass or attempt to bypass security features, access restrictions, permission checks or plan limits
  • Access, or try to access, another customer's data
  • Harass, threaten or harm other users

5.3 Misuse

  • Send spam, run phishing, or conduct unauthorised marketing
  • Impersonate any person or organisation
  • Harvest information about other users without consent
  • Use bots, scrapers or other automated systems against the Service, other than where we have documented an API for that purpose
  • Resell, rent or otherwise commercially exploit the Service without our written permission
  • Share one account across multiple businesses to avoid seat limits or subscription fees

5.4 Consequences

Breaching this section may lead to suspension or termination of your account, removal of infringing content, referral to law enforcement, and liability for any loss we suffer.

If you become aware of a breach, please report it to us.

6

Subscriptions, Payment and Cancellation

6.1 Plans

BusiTools offers a free plan and paid plans. Every new group starts on the free plan. Plans differ by the number of team members allowed and by certain usage limits. Current plans, prices and limits are shown in the app and on busitools.net.

The free plan has usage caps — for example on how many tasks, invoices, stock items, clients and checklist templates you can create in a given period. Reaching a cap does not affect data you have already created; it prevents new records until the period resets or you upgrade.

6.2 How you pay

Paid subscriptions are billed through Stripe, our payment provider. Subscriptions are per group, and are charged monthly or annually in advance to the payment method you provide. Annual billing is charged at ten times the monthly price.

Your card details are entered on Stripe's secure checkout page. We never receive or store your card number.

Prices are in pounds sterling and exclude any applicable taxes, which you are responsible for.

6.3 Renewal

Subscriptions renew automatically at the end of each billing period until cancelled. We will give you at least 30 days' notice before any price increase takes effect, and you may cancel before it does.

6.4 Changing plan

You may upgrade or downgrade at any time. Changes are applied to your existing subscription and Stripe prorates the difference. On downgrade, data you have already created is kept, but you may be above the limits of your new plan — in that case you will not be able to add new team members or records of that type until you are back within the limit.

6.5 Cancelling

6.6 Failed payments

If a payment fails, Stripe will retry it. Your paid features remain available during that retry window. If payment ultimately fails, the subscription ends and the group returns to the free plan. Your data is not deleted, but free plan limits apply from that point.

6.7 Refunds

Fees are non-refundable except where the law requires otherwise or where we have clearly failed to provide the Service. We do not refund partial billing periods.

6.8 Previous in-app purchases

BusiTools previously offered a one-off in-app unlock through the Google Play Store. That option was withdrawn in September 2026 and nothing can be purchased through it any more. If you bought it, that purchase is still recognised on app versions that used it. It confers no rights over the subscription plans described above.

6.5 — version A (paste this if you change the code to cancel_at_period_end: true)

You may cancel at any time from the app, or through the Stripe billing portal on the web. Cancellation takes effect at the end of the current billing period. You keep access to your paid features until that date, after which the group returns to the free plan. We do not charge you again after you cancel.

If you delete your account rather than cancelling, the subscription is cancelled immediately, because the group and its data are being removed.

6.5 — version B (paste this only if the code stays as it is)

You may cancel at any time from the app, or through the Stripe billing portal on the web. Cancellation takes effect immediately: the group returns to the free plan straight away and paid features stop being available at that point, even if you have paid for the remainder of the billing period. We do not refund the unused part of the period, so cancel at the end of a period if you want the full value of it.

AI Features

BusiTools may offer optional AI-assisted suggestions, such as proposing a category for a new stock item.

  • Suggestions are advisory only. Nothing is saved automatically — you review and confirm every suggestion.
  • Suggestions may be wrong, including where the feature reports high confidence. Do not rely on them without checking.
  • We are not liable for decisions you make on the basis of a suggestion.
  • AI features may be limited to certain plans, and may be changed or withdrawn.
  • We do not use Your Data to train AI models. See our Privacy Policy.

Availability and Changes to the Service

Important Section

We aim to keep BusiTools available and reliable, but we do not guarantee uninterrupted access. The Service may be unavailable during maintenance, or because of failures at our hosting providers or other events outside our control.

We may add, change, or remove features. If we remove a feature you materially rely on, or discontinue the Service, we will give you reasonable notice — at least 30 days where practical — and a chance to export your data. If we discontinue a paid Service, we will refund the unused portion of any subscription you have paid in advance.

Intellectual Property

9.1 Ours

All content, features and functionality of the Service — software code, algorithms and architecture, design, graphics and interface, logos, trade marks and branding, documentation, templates and pre-populated content — are owned by Dungeon Studio Solutions and protected by United Kingdom and international intellectual property law.

9.2 Feedback

If you send us feedback, suggestions or ideas about the Service, you grant us a perpetual, worldwide, royalty-free, transferable licence to use and incorporate them without obligation to you. You are not required to send us feedback.

9.3 Third-party content

The Service may link to third-party websites or services. We are not responsible for their content, accuracy or practices, and your use of them is at your own risk and subject to their terms.

Disclaimer of Warranties

Important Section

Except as expressly stated in these Terms, the Service is provided "as is" and "as available".

10.1 No warranty

To the fullest extent permitted by law, we exclude all warranties, conditions and terms implied by statute or common law, including any implied warranty of satisfactory quality or fitness for a particular purpose, and any warranty that the Service will be uninterrupted, error-free or secure, that content will be accurate or complete, or that defects will be corrected.

10.2 Use at your own risk

You acknowledge that we do not guarantee the Service will meet your particular business requirements, that we are not responsible for business decisions you make using data in the Service, and that you should keep independent records of critical business data.

10.3 Not professional advice

BusiTools does not provide legal, financial, accounting, tax, payroll or employment advice. Features that handle invoices, expenses, payroll figures, holiday entitlement or employee records are record-keeping tools only. Calculations and records are your responsibility, and you should consult a qualified professional. You remain responsible for your own tax, employment law and data protection obligations.

Limitation of Liability

11.1 What we never exclude

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow us to limit or exclude.

11.2 What we are not liable for

Subject to 11.1, and to the fullest extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, anticipated savings, goodwill, business opportunity or data, however caused, whether or not we were advised such loss was possible.

11.3 Cap on liability

Subject to 11.1, our total liability to you for all claims arising out of or in connection with these Terms or your use of the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the greater of the total amount you paid us in the 12 months before the claim arose, or £100.

11.4 Allocation of risk

You acknowledge that our pricing reflects this allocation of risk, and that these limits are a fundamental basis of the agreement between us.

11.5 Your statutory rights

Nothing in these Terms affects any statutory rights you have that cannot be excluded or limited by agreement.

Termination and What Happens Next

12.1 By you

You may cancel your subscription and delete your account at any time from the app. See Section 06 for what cancellation means for billing.

12.2 By us

We may suspend or terminate your access as set out in Section 3.4.

12.3 Effect of termination

On termination your licence to use the Service ends immediately. Deleting your account deletes your profile, your business details and your groups, and cancels any active subscription with Stripe. Some records are retained where the law requires it — see the retention section of our Privacy Policy.

Any local copy of data held on your device remains until you delete the app or clear its storage.

12.4 Export before you go

Export anything you want to keep before you delete your account. Once deletion completes we are not obliged to restore or provide Your Data, and in most cases we will not be able to.

12.5 Survival

Sections that by their nature should survive termination continue to apply, including Ownership (2.3), Your Data (4.1 and 4.4), Intellectual Property (09), Disclaimer of Warranties (10), Limitation of Liability (11), this Section 12.5, and Governing Law (13).

Governing Law, Disputes and General Provisions

Important Section

13.1 Governing law and jurisdiction

These Terms and any dispute arising out of them are governed by the law of Northern Ireland, and the courts of Northern Ireland have exclusive jurisdiction.

13.2 Resolving disputes

Before starting legal proceedings, please contact us so we can try to resolve the matter informally. We will engage in good faith.

13.3 Entire agreement

These Terms, together with our Privacy Policy and any Data Processing Agreement, are the entire agreement between you and Dungeon Studio Solutions about the Service, and replace any earlier agreement or representation, except that nothing excludes liability for fraudulent misrepresentation.

13.4 Severability

If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the rest of these Terms remain in force.

13.5 Waiver

A failure to enforce any right or provision is not a waiver of it.

13.6 Assignment

You may not assign or transfer these Terms without our written consent. We may assign them, for example as part of a sale or reorganisation of our business, and will tell you if we do.

13.7 No partnership

Nothing in these Terms creates an agency, partnership, joint venture or employment relationship between us.

13.8 Force majeure

We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, riot, embargo, act of civil or military authority, fire, flood, accident, pandemic, strike, failure of a hosting or payment provider, or shortage of transport, fuel, energy, labour or materials.

13.9 Notices

We may give you notice by email, push notification or a notice within the app. Notices to us should go to the address in the Contact section.

13.10 Third party rights

No one other than you and us has any right to enforce these Terms.

Note, don't paste: 13.1 is set to Northern Ireland. Swap to England and Wales only if a solicitor told you to. The class action waiver and one-year limitation period are gone.
